There is a lot of confusion about stock and securities backed, non-recourse lending. Here is a case study for three different scenarios of what can be done for ultimate capitalization if one owns stock and wants to monetize without selling their shares.
Client A is in the gaming business based in the Southeast and had problems getting conventional financing to fund their growth. The project was a bid and fulfillment of contract to place gaming machines in new locations recently approved for gaming. The need was $1.2 million and while the company itself could not fund its growth, the owner’s personal portfolio of mostly blue chip stocks got a loan to value of 85% and a rate of 0.75% with a cap at 1.75% for 5 yrs. He has the option to renew for 2 additional 5 year periods.

Click on the TV and you’ll see them, faces like the Joker with ceramic smiles plastered onto their face. Using the name of Jesus and romantic concepts of fighting in wars and existing at deaths door while he fought for his country is the general MO of any politician. But what happens when we enter into the endless tunnels of the rabbit hole where these Jokers exist? Among the cobwebs, rotting carcasses filth is a den where they all congregate. Kissing babies and speaking at the Rotary Club are just strokes of makeup on the faces of these right snatching villains. The reality of how unqualified these professional politicians are should scare the tar out of all of us. Of course we are having issues with our monetary system, the people who are running our government’s finance divisions have a minimal background in the subject. Of course our men and women are dying abroad in wars that we don’t need to be in, the politicians don’t understand what it’s like to lose a child because their kid is in the National Guard on Cape Cod whale watching duty. It’s a joke.

Now more than ever public shell predators are out in full force taking advantage of CEOs and corporate executives who need to go public in order to gain more influence in the marketplace, raise capital, grow through acquisition and bring on prize executives with share ownership.

Pink Sheets aren’t very appealing to investors so these otc pink sheet companies can rarely stay in existence post public and the NASDAQ is a platform in which few can qualify so for companies seeking a rapid public offering of the pinks and the legitimacy of the NASDAQ the OTCBB (over the counter bulletin boards) is a viable option. The process can take from 3 to 6 months for a direct s1 filing and if it’s a real company getting the market maker to file the 15c211 is not that big of an issue as long as the initial audit and S1 filing went through without a hitch.

I consult in the turnaround sector with public companies on the Pinks, OTCBB, London Exchange, Frankfurt Exchange and every exchange in-between and everyone seems to have the same issue: there stock isn’t trading at the price they desire and they are dying to find a way to fix the problems that are hindering their trade. It usually comes down to a few basic elements. Use each of these elements with caution as this industry is full of predatory organizations and consultants and can be dangerous to amateurs. If you’re a newbie, that’s ok. Do what you can but know when you are in over your head and turn the remaining process over to people that swim with sharks for a living.
